The decision may be correct from a legal standpoint, yet it is not a good decision from an institutional standpoint. The law answers the question of the legality of the decision, but it does not always guarantee its sustainability.
Decisions do not exist in a vacuum. They move within an environment that is constantly changing; administrations change, markets change, and policies change. New legislationRegulatory practices evolve, and the expectations of those who interact with the organization change. What seems today to be an ideal decision may, years later, become a burden that is difficult to defend or continue to apply.

Therefore, the legal advisor should not stop at the limits of the question: «Is it permissible?»
Rather, he should add another question that is more profound: «Will this decision remain appropriate if the circumstances on which it was based change?» I have seen internal regulations that were meticulous when drafted, but which have become a hindrance to work years later because they were designed to address a temporary situation, and then they have persisted as if they were a permanent rule.
I have seen contracts that provide significant protection for one party, but they lose value when the business model changes, and amending them becomes more costly than taking advantage of them.

As I have seen, administrative decisions are correct in principle, but they were based on assumptions that were not reviewed as reality changed. This transformed them from a force into a source of risk. This is what distinguishes strategic legal thinking from traditional legal thinking. Traditional thinking seeks the right decision at a specific moment.
As for Strategic thinkingIn seeking a decision that can remain valid, or at least adaptable, when circumstances change. Hence, the quality of legal opinion is measured not only by the soundness of its reasoning, but also by its flexibility.

Consultation that assumes all facts will remain constant is a consultation that lives in a world that does not exist. Whereas consultation that clearly defines its assumptions and indicates what may require reconsideration in the future provides the management with a tool for decision-making, not merely permission to proceed with it. Therefore, the most mature organizations do not simply adopt their decisions and forget about them; they periodically review them, not because they doubt their validity, but because they realize that the environment in which they were created is no longer the same.

Legal decisions, like any strategic asset, need to be reviewed and maintained, not kept in an archive.
And therefore I see that the real question is not: «Is the decision right today?»
Rather: «Was this decision designed so that it can remain valid when tomorrow changes?» Here is where the difference between those who use the law to justify the decision appears…
And those who use it to build a decision that can stand the test of time.
@Dr_alkharji
Lawyer, governance and compliance expert

Reading time: 2 MinutesThe legal advisor is often asked a question that seems sufficient to make a decision: «Is this procedure systematic?» When the answer is affirmative, the decision-maker feels that they have obtained what they need and moves on to implementation confident.
