In fact, some of these shares have traded at less than the initial offering price. The fact that the share price has declined does not necessarily mean that the company was mispriced; nor does its rise necessarily prove the fairness of the valuation; market price is governed by multiple and changing factors. However, the repeated trading of some real estate companies without their initial offering prices opens the door to a legitimate question regarding the previous movement of the share price itself: how were these companies valued? How were their offering prices determined? Were the risks associated with their assets and activities sufficiently present in the valuation and pricing process?

Controlling real estate assets is not enough
The specificity of the real estate company makes this question even more important; a significant portion of the value of some companies is based on land, under-development projects, and assets that are expected to generate returns in the future. Therefore, the issue is not merely a matter of listing assets and assigning a market value to them; it also involves the time required for their development, the cost of financing and retaining them, the company’s ability to convert them into cash flows, and regulatory constraints and risks that may affect their utilization.
وWhite Land Fees He offers an example that deserves attention: these fees are not a regulatory idea that emerged suddenly; rather, they are a policy that has been in place for years, aimed at stimulating land development and increasing the supply of land while reducing the retention of undeveloped land. Therefore, real estate companies entering the market with large portfolios of land raise a legitimate question about their valuation: to what extent were the costs of maintaining these lands and the regulatory risks associated with them taken into account when assessing the company’s value and pricing its offering?

Do the risks reflect in the disclosure figures?
Here, three things that may seem similar but are not are to be distinguished: disclosing the risk, assessing the impact of the risk, and incorporating its financial impact into the assessment.
A prospectus release may include a statement about the costs of white land or the possibility that the company may be affected by changes in regulations and laws. In this case, the investor has been informed of the risk. But simply disclosing it does not necessarily answer another more important question: has this risk been reflected in the figures and assumptions that led to the value on which the company has based its offering?

If company-owned land is included in the valuation of its assets at a high value, and it is assumed that it will remain in possession until it is developed or its value increases, the cost of retaining this asset is not a marginal issue. Fees may affect cash flows, the timing of development, and the viability of continuing to hold the land, and may prompt the company to develop it or dispose of it at a different time from its original plan. All of these factors can affect the economic value of the asset and the company that owns it.
The question becomes even more important when future expectations are an influential part of the valuation. If the probability of the value of the land rising or the project’s revenue growing is taken into account, it is a requirement of the balance in the valuation that the risks and costs that could prevent those expectations from being realized or reduce the resulting return are also taken into account. It is not acceptable for positive expectations to be a component of value creation while the corresponding risks remain merely separate cautionary disclosures.

Influential factors surrounding the IPO
The issue is not limited to the fees for white land. The real estate sector is one of the sectors most affected by regulatory and economic changes; from development and construction requirements, sales requirements on the map, project implementation periods, financing costs, to regulations and fees that affect the cost of acquiring and developing land. The longer the period between the acquisition of the property and its transformation into a productive project, the more important these changes become in assessing its value.

From a legal and regulatory perspective, the importance of distinguishing the responsibilities of the parties involved in the offering is highlighted here. The decision to subscribe is ultimately the investor’s decision; he/she bears the market risks and there is no system that guarantees that the share price will rise after the listing. In contrast, this decision is made based on a system of information, assessments, and assumptions that are developed by the company, its board of directors, its executive management, consultants, residents, and others, each within their respective scope of authority and responsibility.

Protection by providing sufficient information
Therefore, investor protection does not mean protecting them from loss, nor ensuring a certain price for a share; rather, it means—among other things—that the essential information provided to them is sufficient, that the assumptions on which valuations are based are interpretable and revisable, and that the estimated value of the asset reflects its expected benefits and its influencing risks together.
It is also wrong to judge an earlier valuation simply by looking at today’s share price. The valuation may be correct at the time it is made, but interest rates, funding conditions, demand, regulations, or economic conditions may change. Therefore, a real estate company’s share price falling below its IPO price is not in itself a sign of a valuation problem. But, especially when it occurs in more than one offering, it is a valid reason to return to the valuations and assumptions on which they were based and compare them with what was known at the time of the offering.

Important questions for the market review
This review is important for the market itself; because it distinguishes between risks that arose after the IPO and were not reasonably expected, and risks that were present, known, or reasonably predictable. Then it is examined: how did they appear in the valuation? How did they affect pricing? Was their financial impact measured, or was it merely disclosed within a long list of risk factors?

The question, then, is not: Why did the share price of this company fall or that one rise? Rather, it is a question more related to financial law and governance: Was the price offered to the investor the result of a balanced assessment of the opportunities and risks of the asset?
The white-land fees are just a clear example of this question. If the regulatory policy towards undeveloped land has been known for years, and the land represented a fundamental element in the value of some real estate companies that were introduced to the public, it is legitimate today to return to those offerings and ask:
Did the regulatory risks and the cost of holding on to the land actually reflect in the company's valuation and its price at the offering, or did the investor recognize the risk from the prospectus after the value had been based on more optimistic assumptions?
The answer to this question does not concern only those who subscribed yesterday; rather, it concerns the quality of the evaluation, the efficiency of pricing, the confidence in the offerings, and the protection of investors in the financial market in the future.
@Dr_alkharji

Reading time: 3 MinutesOver the past few years, the financial market has witnessed the initial public offering (IPO) of several real estate companies.
