Trending Saudi Arabian Intellectual Property Authority<\/a><\/strong> To establish an integrated regulatory framework for the protection of trade secrets, through the Trade Secrets System project presented on the \u00abSurvey\u00bb platform, which defines the rights of owners of confidential information, the controls that provide regulatory protection, and the legal means to confront its seizure, disclosure, or exploitation without authorization.<\/p>\n\n\n\n

The draft law grants owners of trade secrets the right to control the use, investment, and transfer of their information to others or to license its use. It also stipulates penalties of up to three years imprisonment and a fine of one million riyals, or either of these penalties, for those who intentionally commit violations. Furthermore, it allows those affected to claim compensation for damages resulting from such infringement.<\/p>\n\n\n\n

The regulation aims to provide protection for information that has economic value for its owners due to its confidentiality, and to establish clear rules for dealing with cases of illegal disclosure, in addition to defining the jurisdictions of judicial authorities and mechanisms for stopping violations and compensating for damages.<\/p>\n\n\n\n

When does information acquire the status of a trade secret?<\/strong><\/h2>\n\n\n\n

The project established three criteria that must be met for information to be treated as a trade secret. The first is that the information is not generally known or readily available to people who usually deal with this type of information. The second is that its commercial value derives from remaining confidential. The third is that its owner takes reasonable measures to maintain its confidentiality.<\/p>\n\n\n\n

Under Article 3, the owner of a trade secret has the right to use, exploit, and dispose of the information, whether by granting a license to others to use it or by transferring all related rights. They can also prevent others from obtaining, disclosing, or exploiting it without their explicit consent.<\/p>\n\n\n\n

The draft law does not require the registration or documentation of trade secrets for them to be legally protected; protection applies automatically as long as the conditions for it are met. Conversely, accessing information through independent development or reverse engineering of publicly available information is not considered a prohibited infringement, according to the exception stipulated in Article 5.<\/p>\n\n\n\n

Exceptions to disclosure to protect the public interest<\/strong><\/h2>\n\n\n\n

The project did not make the confidentiality of information an obstacle to procedures required by the public interest, as it allowed its disclosure to the competent authorities in specific cases, including confronting dangers that threaten national security, uncovering crimes, protecting health, and executing judicial orders.<\/p>\n\n\n\n

The project stipulated that disclosure should be limited to what is required, with the entity receiving the information obligated to maintain its confidentiality, in order to balance the protection of the commercial rights of the owners of the secrets and to enable the competent authorities to perform their regulatory duties.<\/p>\n\n\n\n

Imprisonment and fines to combat information theft<\/strong><\/h2>\n\n\n\n

The project assigned to the Public Prosecution the responsibility of investigating and prosecuting violations related to trade secrets before the competent court, and specified penalties of up to imprisonment for a period not exceeding three years, and a fine not exceeding one million riyals, or one of the two penalties, against violators intentionally.<\/p>\n\n\n\n

The acts targeted by the organization include obtaining trade secrets through illicit means such as theft, espionage, fraud, coercion, and bribery, as well as disclosing them in violation of professional obligations. The scope of the crime also extends to unauthorized access to systems for the purpose of extracting confidential information, seizing or copying files, and inciting or assisting others to commit these acts.<\/p>\n\n\n\n

The criminalization also includes disclosing information based on protection exceptions while knowing that they do not apply, if the intention is to gain a benefit or harm the owner of the secret, as well as using information in violation of binding judicial measures issued by the court to maintain its confidentiality.<\/p>\n\n\n\n

The draft law increased penalties for repeat offenses, allowing for doubling the maximum penalty if the offense is repeated within three years of serving the previous sentence or receiving a pardon. It also granted the court the authority to publish a summary of the conviction after it becomes final.<\/p>\n\n\n\n

Compensation includes losses and lost profits<\/strong><\/h2>\n\n\n\n

The project grants owners of trade secrets the right to resort to the courts to stop infringement and claim compensation for direct damages incurred. Compensation is not limited to actual losses, but also includes lost profits for the affected party, profits made by the infringer, reasonable fees that could have been paid to obtain a license to use the secret, and litigation costs.<\/p>\n\n\n\n

It also allows the court to compel the offender to provide information about the parties who participated with him in the violation, the sources of information he obtained, and the distribution channels of the products resulting from the violation.<\/p>\n\n\n\n

In cases requiring urgent intervention, the court may take precautionary measures at the request of the affected party, including seizure to prevent the continuation or occurrence of the infringement, and to preserve evidence related to the violation.<\/p>\n\n\n\n

The judicial procedures also include the confiscation and destruction of items resulting from the infringement at the expense of the convicted person, or their disposal outside commercial channels, in addition to the confiscation of machines and tools that were mainly used in committing the violation, according to what the court decides.<\/p>\n\n\n\n

Restrictions on the disclosure of secrets during litigation<\/strong><\/h2>\n\n\n\n

The project includes provisions to protect the confidentiality of information during disputes before the judiciary, by restricting access to documents and limiting it to authorized persons, preventing their copying, and the possibility of restricting attendance at sessions in a way that preserves the confidentiality of the data in dispute.<\/p>\n\n\n\n

At the same time, the draft law mandates the availability of non-confidential copies of court rulings, while maintaining the obligation to protect information and not disclose it even after the conclusion of the case. It also affirms that the protection of trade secrets does not infringe upon the rights of data subjects under relevant regulations.<\/p>\n\n\n\n

The project excludes from protection information whose intended use conflicts with the provisions of Islamic law, public order, or public morals.<\/p>\n\n\n\n

Optional documentation and anticipated executive regulations<\/strong><\/h2>\n\n\n\n

The project enabled the Saudi Authority for Intellectual Property to offer an optional trade secret documentation service. This documentation serves as evidence of possession of the information, but does not constitute conclusive proof of ownership or the legitimacy of obtaining it. The project emphasized the need to maintain data confidentiality throughout the process of providing this service.<\/p>\n\n\n\n

According to Article 18, the Board of Directors of the Authority shall issue the implementing regulations, which will specify the detailed procedures necessary for the application of the system. Article 19 stipulates a period of 180 days from the date of publication of the system in the Official Gazette for its provisions to come into effect.<\/p>\n\n\n\n
