Then he finds himself facing a dispute that is not related to the effort he made, nor to the deal that was achieved, but rather to a legal question on which the fate of his claim for commission may depend: Does the absence of a written brokerage contract or its failure to deposit it with the General Authority for Real Estate prevent him from resorting to the judiciary?

The importance of this question stems from Article 7 of Real Estate Brokerage SystemThe regulations stipulate that brokerage contracts must be in writing, and that the broker must deposit a copy with the General Authority for Real Estate. The regulations also state that the contract is not legally binding unless it is in writing. This reflects the regulator's commitment to controlling real estate brokerage activities, protecting the parties involved, and reducing disputes related to commissions and contractual obligations.

However, the problem does not arise from the requirement of documentation itself, as this is a clear legal obligation, but rather from the legal consequences of its absence. Does the failure to fulfill this procedure preclude the court from hearing the claim for the commission, or does its effect extend to proving the contractual relationship, while preserving the plaintiff's right to present their claim and provide evidence to support it?

Herein lies the distinction between two issues often confused in legal disputes: the admissibility of the claim and the establishment of the right. The former concerns the court's ability to consider the claim, while the latter concerns the sufficiency of the evidence to prove the alleged obligation. A claim may be heard and then dismissed due to insufficient evidence, or it may be heard and the plaintiff ruled in their favor once the elements of the claim and its supporting evidence are complete.

Proof by writing and judicial admission

This distinction was highlighted in the Supreme Court's decision No. (8734131), dated 09/02/1448 AH, concerning a claim for a real estate brokerage commission for which the contract was not deposited with the Authority. According to the reported reasoning behind the decision, the Court held that Article Seven did not stipulate the dismissal of the case for failure to deposit the contract, and that the requirement for documentation pertains to proving the existence of the brokerage contract, with the possibility of substituting written documentation with other means of proof permitted by law.
This interpretation is not limited to Article 7; it finds its basis in the general rules of evidence. Article 51 of the Evidence Law permits, in cases where written proof is required, a judicial admission, a decisive oath, or a written presumption corroborated by another form of proof may substitute for it.

This means that the absence of a written contract does not necessarily preclude legal action, but it also does not make proving the contract permissible by any means without restraint. Judicial admission has its own rules, and a decisive oath has its own conditions and effects. The principle of proof by writing is not established merely by the intermediary's claim or the submission of correspondence issued by him alone; rather, it requires a written document from the opposing party that makes the existence of the alleged transaction highly probable, and is corroborated by other evidence.

Let's imagine a broker who successfully brought together a property owner and a buyer until the deal was finalized, and then demanded their commission. The other party argued that the brokerage contract wasn't officially registered, despite admitting in court that they had commissioned the broker to complete the transaction. In such a case, the question arises: can the failure to register the commission be grounds for dismissing the case from the outset, without examining the impact of that admission on proving the relationship and the obligation?

The aforementioned legal trend allows the court to examine this evidence, without necessarily ruling in favor of awarding the commission. Proof of mediation is not always sufficient; it is also necessary to determine the party obligated to pay, verify that the conditions for entitlement were met, and ascertain whether the transaction was conducted in accordance with the contractual relationship upon which the mediator's role is based.

The real estate brokerage system has addressed these aspects with clear provisions. Article Fourteen made the commission borne by the party contracting with the broker, and specified its legal percentage unless there is a written agreement to the contrary. Article Fifteen clarified the cases in which it is due, including the completion of the transaction brokered by the broker in accordance with the brokerage contract and within the period specified by law.

Therefore, a ruling to hear a case does not automatically entitle everyone involved in a real estate transaction to a commission, nor does proving a contractual relationship preclude examining the remaining conditions for entitlement. Conversely, the plea of lack of documentation should not automatically become a reason to dismiss the claim unless the system stipulates a penalty for such non-compliance.

The contractual relationship does not exempt the conditions of entitlement.

This approach does not imply leniency in documenting brokerage contracts or diminishing the importance of adhering to the requirements of the General Authority for Real Estate. Documentation is not merely a formality, but a safeguard to protect both the broker and their client, define the scope and duration of the commission, and minimize disputes that are difficult to resolve in the absence of documentation. Furthermore, the possibility of filing a claim does not absolve one of responsibility for regulatory violations once their conditions are met.

The broader legal value of this interpretation lies in highlighting the importance of distinguishing between a regulatory obligation and the penalty for violating it. Not every procedure mandated by the legislator should result in the inadmissibility of a case if not followed, unless there is a legal basis for such an effect. Furthermore, protecting rights does not necessitate disregarding regulatory requirements, but rather requires applying each regulatory provision correctly.

Herein lies the function of the judiciary in achieving a balance between the stability of transactions and the protection of rights; so that documentation does not become a procedure that can be bypassed without effect, nor does violating it become a reason for disregarding claims without examining the valid evidence presented regarding them.

Justice is not achieved merely by opening the doors of the judiciary to claimants, nor by being strict in procedures, but rather it is achieved when every text is given its correct effect, and every right is given the opportunity to prove it, and then it is decided in accordance with the provisions of the system.
@Dr_alkharji

Also read by the author:
Hidden Construction Defects...
