The royal decree includes amending the definition of the developer as a legal person who is entrusted - under a special agreement concluded by the Authority with it for the cities and special economic zones affiliated to it, or the concerned entity for the special economic zones of that entity - to develop the geographical area designated for the establishment of cities or special economic zones or parts thereof, by establishing its infrastructure and establishing the projects and services necessary for this. (Royal Orders)<\/p>\n<p>The amendment also included Article 13 to read as follows: Real estate of all kinds within the cities and special economic zones of the Authority shall be registered in special records of the Authority, and each record shall include the various data of each property, its area, its owner or beneficiary, and the purposes for which it is intended to be used. The nature of the use of any property may be changed in a manner that does not conflict with the master plan of each city or special economic zone. The Authority shall have the right to develop any organization or service for the registration of real estate, its documents, mortgage, follow-up, and other matters that the Authority deems appropriate for each city and special economic zone, and it may authorize others, under contracts concluded for this purpose, to manage and operate such organizations and services under its supervision.<\/p>\n<h4>\u00a0The text of the royal order:<\/h4>\n<p>Royal Decree No. A\/240 dated 1-4-1441 AH<\/p>\n<p>With God's help<\/p>\n<p>We are Salman bin Abdulaziz Al Saud<\/p>\n<p>King of Saudi Arabia<\/p>\n<p>Having reviewed the Basic Law of Governance, promulgated by Royal Decree No. A\/90 dated 27-8-1412H.<\/p>\n<p>Having reviewed the organization of the Economic Cities Authority, issued by Royal Decree No. (A\/19) dated 10-3-1431H.<\/p>\n<p>He told us what's coming:<\/p>\n<p>First: The organization of the Economic Cities Authority, issued by Royal Decree No. (A\/19) dated 10-3-1431 AH, shall be amended as follows:<\/p>\n<h4>1. Article (I) shall be amended as follows:<\/h4>\n<p>a. Replace the words \u201ccities and special economic zones\u201d with \u201ceconomic cities\u201d wherever they appear in the definition of \"organization\", the definition of \"Authority\" and the definition of \"Secretary-General\".<\/p>\n<p>Replace the words \u201ceconomic cities or special economic zones\u201d with \u201ceconomic cities\u201d in the definition of \"investor\".<\/p>\n<p>c. Amend the definition of \u201cOperator\u201d to read as follows: \"Operator: The legal entity entrusted with the operation of a service or service facility in any of the cities or special economic zones.\".<\/p>\n<p>D. Amend the definition of \u201cDeveloper\u201d to read as follows: \"Developer: A legal person who is entrusted - under a special agreement concluded by the Authority with him in relation to its cities and special economic zones, or the concerned authority in relation to the special economic zones belonging to that authority - to develop and develop the geographical area allocated for the establishment of cities or special economic zones or parts thereof, by establishing its infrastructure and establishing the necessary projects and services, whether by itself or through third parties.\".<\/p>\n<h4>e. Add the following definitions to the article:<\/h4>\n<p>- Special Economic Zones (or Special Economic Zone): Saudi special economic zones established in accordance with the provisions of the organization.<\/p>\n<p>- Supervision of special economic zones: The Authority's supervision of the management of the Special Economic Zone, in accordance with the regulations, rules, controls and arrangements of each Special Economic Zone and the powers specified therein, including those related to the implementation of financial, customs, tax and other exemptions and incentives within each Special Economic Zone.<\/p>\n<p>- The entity concerned: The entity that approves the establishment of a special economic zone.<\/p>\n<p>- The Executive Director of the Special Economic Zone: The administrative official appointed by the Authority or the concerned authority, as the case may be, as the Executive Director of the Special Economic Zone, or the Executive Director of the company developing the Special Economic Zone appointed by the concerned authority.<\/p>\n<p>- Special Economic Zone Master Plan: The set of documents agreed upon by the Authority and the developer, or the concerned authority and the developer, which sets the general framework for the design of the SEZ.<\/p>\n<p>2- Article (2) shall be amended by replacing the words \u201cEconomic Cities and Special Economic Zones Authority\u201d with \u201cEconomic Cities Authority\u201d in paragraph (1) of the article.<\/p>\n<h4>3. Article 3 is amended to read as follows:<\/h4>\n<p>The Authority shall assume full administrative and financial supervision over the cities and special economic zones affiliated to it in order to achieve its objectives in localizing national capital and attracting foreign investments, and the objectives of the Kingdom's development plans. The Authority shall also, within the limits stipulated by regulation, supervise and organize the special economic zones affiliated to the concerned authorities, and in particular, the Authority shall have the following:<\/p>\n<p>1- Concluding agreements and contracts, developing plans and programs, and conducting the necessary studies to develop the cities and special economic zones affiliated to it, supporting them, monitoring their growth, and preserving their gains.<\/p>\n<p>2- Reviewing and approving the general plans of cities and special economic zones, ensuring their proper implementation, and approving any amendment proposed by the developer to the general plan, after coordinating with the concerned authority in relation to the special economic zone belonging to that authority.<\/p>\n<p>3- Establishing regulations that determine the best specifications and international standards for all infrastructure works in cities and special economic zones affiliated to it, and determining the conditions for establishing buildings, roads, ports, industrial, commercial and residential areas, and providing services of public interest, taking into account security, safety, environment and public health conditions.<\/p>\n<p>4- Establishing the necessary regulations for the management, operation and safety of industrial zones within cities and special economic zones affiliated to them.<\/p>\n<p>5- Issuing licenses for all commercial, industrial, service, professional, educational, training, and health activities in the cities and special economic zones affiliated to it, according to regulations and standards set by the Council, including the method of supervising and monitoring these activities.<\/p>\n<p>6- Determining the financial compensation for licenses and services provided in cities and special economic zones.<\/p>\n<p>7. Granting utilization rights within cities and special economic zones affiliated with them.<\/p>\n<p>8. Establishing companies or entering them as a partner, in accordance with the legal procedures followed, in order to achieve the tasks and competencies entrusted to the Authority.<\/p>\n<p>9- Monitoring the application of design, construction, operation and maintenance controls in cities and special economic zones.<\/p>\n<p>10. Establishing the rules and procedures governing the work and responsibilities of the Executive Director of the Economic City and the Executive Director of the Special Economic Zone.<\/p>\n<h4>11- Supervising and monitoring developers, investors, operators, contractors, workers, residents and visitors in its cities and special economic zones.<\/h4>\n<p>12- Studying the need for the establishment of cities and special economic zones, and submitting its findings to the Council to consider taking the necessary measures in this regard.<\/p>\n<p>13. Receiving applications for the establishment of special economic zones, studying them, and submitting what it deems necessary to the Council for consideration.<\/p>\n<p>14. Conducting comparative studies and research on feasible and appropriate financial, customs, tax and other exemptions and incentives to consider proposing their application in cities and special economic zones in the Kingdom, guided by international experiences and practices, and submitting their results to the Council to consider taking the necessary measures in this regard.<\/p>\n<p>15- Coordinating with the concerned authority of the special economic zone in all matters related to the area belonging to that authority.<\/p>\n<p>16. Follow up on the implementation of financial, customs, tax and other exemptions and incentives related to special economic zones in coordination with the concerned authority to which the zone belongs, and follow up on the implementation of the regulations, rules, controls and arrangements of each special economic zone.<\/p>\n<p>17- Monitoring compliance with the regulations of licenses issued for all commercial, industrial, service, professional, educational, training, and health activities.<\/p>\n<p>18- Concluding agreements with the authorities concerned with special economic zones or third parties that include authorization to carry out some of the Authority's tasks in order to enable the concerned authority to organize relations and tasks in the special economic zone affiliated to it.<\/p>\n<p>19. Carrying out any other task consistent with the nature of its work or the purpose of its establishment.\u201d.<\/p>\n<h4>4- Add an article to be arranged as Article (III bis), with the following text:<\/h4>\n<p>The concerned entity shall, within the limits stipulated by the regulation and the regulations, rules and arrangements for each special economic zone, have the necessary powers to manage and operate the special economic zone belonging to it by itself or through others, in order to achieve the economic, financial and commercial returns envisaged from the zone, and in particular shall have the following powers:<\/p>\n<p>1- Concluding agreements and contracts, developing plans and programs, and conducting the necessary studies to establish and develop the special economic zones affiliated with it, supporting them, monitoring their growth, and preserving their gains, after coordination with the Authority and the authorities related to the targeted activities in these zones.<\/p>\n<p>2. Make any amendment to the general plan of the Special Economic Zone as authorized by the regulations, rules or arrangements of the Special Economic Zone.<\/p>\n<p>3- Establishing regulations that determine the best specifications and international standards for all infrastructure works for the special economic zones affiliated to it, and determining the conditions for establishing buildings, roads, ports, industrial, commercial and residential areas and providing services of public interest, taking into account security, safety, environment and public health conditions.<\/p>\n<p>4- Establishing the necessary controls for the management, operation, and safety of industrial zones within the special economic zones affiliated to it.<\/p>\n<p>5. Granting utilization rights within its special economic zones.<\/p>\n<p>6- Establishing the rules and procedures governing the work and responsibilities of the executive director of the special economic zone affiliated to it.<\/p>\n<p>7. Supervising and monitoring developers, investors, operators, contractors, workers, residents and visitors in the special economic zones affiliated to it.<\/p>\n<p>8. Proposing the financial compensation for licenses and services provided in its special economic zones, and submitting it to the Council to complete the necessary action in this regard.<\/p>\n<h4>5. Article 5 is amended to read as follows:<\/h4>\n<p>The Council is the authority responsible for the affairs of the Authority, and supervises its administration and management, and chooses the method it deems appropriate for the implementation and operation of cities and special economic zones, without being bound by the applicable financial and administrative rules, including the powers related to the Authority's tasks and competencies stipulated in the regulation. The Council also supervises the special economic zones belonging to the concerned authorities, and in particular has the following powers:<\/p>\n<p>1- Setting the policies that the Authority follows to achieve its objectives and adopting the necessary programs.<\/p>\n<p>2- Adopting the organizational structure of the Authority.<\/p>\n<p>3- Approving the administrative and financial regulations and other internal regulations. Provided that the approval of financial regulations and provisions with financial impact in the administrative regulations shall be in agreement with the Ministry of Finance.<\/p>\n<p>4- Approving the financial compensation for licenses and services provided in cities and special economic zones.<\/p>\n<p>5- Adopting regulations for granting utilization rights within cities and special economic zones.<\/p>\n<p>6- Approving the organization's annual work plan and operational plans.<\/p>\n<p>7. Approve the Authority's draft annual budget, final account, auditor's report, and annual report, in preparation for submitting them to the King.<\/p>\n<p>8. Forming committees and authorizing them with the necessary powers to accomplish the tasks assigned to them.<\/p>\n<p>9. Proposing the establishment of cities and special economic zones, in preparation for submission to the Council of Ministers for approval.<\/p>\n<p>10. Proposing financial, customs, tax and other exemptions and incentives within each city and special economic zone according to the nature of each of them, in order to ensure the realization of economic, financial and commercial returns, and submitting it to the Council of Ministers to consider approving it.<\/p>\n<p>11- Adopting regulations, rules and arrangements for cities and special economic zones and defining the powers related to each city or zone.<\/p>\n<h4>6. Article (X) is amended to read as follows:<\/h4>\n<p>\u201cComprehensive service centers shall be established in cities and special economic zones under the supervision and management of the Authority, in which governmental and non-governmental service entities shall be represented and through which all types of services shall be provided to developers, operators, investors, workers and residents, according to their needs in cities and special economic zones. These entities shall authorize their representatives to exercise the powers that ensure the speedy provision of services as determined by the Council, in accordance with the concept of (60*24*7). The Authority shall coordinate with the concerned authority when establishing a similar comprehensive service center in the special economic zone belonging to that authority.\u201d.<\/p>\n<h4>7. Article 11 is amended to read as follows:<\/h4>\n<p>\u201cThe Authority shall market - locally and internationally - the investment opportunities available in cities and special economic zones, and any of the events related to investment marketing, in coordination with the developers of cities and special economic zones, after the approval of the concerned authority for the special economic zone belonging to that authority, and in accordance with the statutory provisions.\u201d.<\/p>\n<h4>8. Article 13 is amended to read as follows:<\/h4>\n<p>\u201cReal estate of all kinds within the cities and special economic zones of the Authority shall be registered in special records of the Authority, and each record shall include the various data of each property, its area, its owner or beneficiary, and the purposes for which it is intended to be used. Article 14 is amended to read as follows:<\/h4>\n<p>\u201cThe Authority shall issue - for each owner or beneficiary of a property registered in the real estate records in the city or special economic zone of the Authority - a certified official document whose data is fully registered in the records of the notary at the Authority, and approved in accordance with the rules for issuing ownership documents approved by the Authority. The Authority requires every owner or beneficiary of a property or its disposer within its cities and special economic zones to submit the necessary documents.\u201d.<\/p>\n<p>10. Replace the words \u201ceconomic cities and special economic zones\u201d with the words \u201ceconomic cities\u201d in Articles (Fifteenth, Sixteenth and Twenty-third).<\/p>\n<p>11. Replace the words \u201ceconomic cities and their special economic zones\u201d with the words \u201ceconomic cities\u201d, wherever they appear in Article (Seventeen).<\/p>\n<h4>12. Amend Article (XVIII) to read as follows:<\/h4>\n<p>\u201cDevelopers, operators, investors, workers, residents and visitors within cities and special economic zones are obligated to abide by the public values and morals observed in the Kingdom. If anyone violates this obligation, the Authority or the concerned authority, as the case may be, may take the necessary measures against him.\u201d.<\/p>\n<h4>13. Article 19 is amended to read as follows:<\/h4>\n<p>\u201cThe Authority - in cooperation with the developers of cities and special economic zones affiliated to it - shall develop and manage deposit zones and re-export zones, provided that these zones include the necessary infrastructure to embrace industrial, commercial and service activities according to the needs and plans of each city or special economic zone, and the Council shall set the rules governing this.\u201d.<\/p>\n<h4>14. Article 20 is amended to read as follows:<\/h4>\n<p>\u201cInvestors in cities and special economic zones shall be treated in terms of financial, customs, tax and other exemptions and incentives, as determined by the Council of Ministers\u201d decision issued in this regard.\".<\/p>\n<h4>15. Article XXI is amended to read as follows:<\/h4>\n<p>\u201cThe Authority has the right to enter any site or building within cities and special economic zones - except for private residences - in coordination with the executive director of the city or the executive director of the special economic zone, or whoever is authorized by either of them, in a manner that does not conflict with the interest of work in the city or the special economic zone. In order to do so, the Authority may request the necessary documents and information.\u201d.<\/p>\n<p>16. Add an article (Article XXI bis), with the following text:<\/p>\n<p>\u201cRegulations issued by the Council shall specify, with respect to each special economic zone of a concerned entity, the following:<\/p>\n<p>1- Controls for issuing licenses for various commercial, industrial, service, professional, educational, training, and health activities, and the way the Authority supervises and monitors these activities.<\/p>\n<p>2- The competent authority for registering real estate of all types within the special economic zones of the concerned entity, and the mechanisms and requirements necessary for this.<\/p>\n<p>3- The mechanism for obtaining the approved official document - for each owner or beneficiary of real estate in the special economic zone - and the data that must be recorded in the records, and how to approve it. The documents and documents required to be submitted by each owner, beneficiary or disposer of real estate within the special economic zones.<\/p>\n<p>4- The mechanism for establishing a security department within the special economic zones and its tasks, in agreement with the Ministry of Interior.<\/p>\n<p>5. Rules governing the development and management of warehousing and re-export zones, and the infrastructure they include to host industrial, commercial and service activities.<\/p>\n<h4>17. Article XXII is amended to read as follows:<\/h4>\n<p>\u201cWithout prejudice to the provisions of the relevant regulations, the Authority shall, after coordination with the National Center for Monitoring Environmental Compliance, establish regulations and controls related to environmental protection in its cities and special economic zones, as well as in coordination with the concerned authority for the special economic zone belonging to that authority, in accordance with the best international standards and criteria, and take this into account when issuing licenses to developers, operators, investors and others in cities and special economic zones.
