integrity is proven, based on a statement from the authority that issued it, and that the real estate subject of the real estate contribution must have the necessary approvals for its development from the competent authorities, as specified in the executive regulations of the system, which will be issued by the General Authority for Real Estate during the coming period.<\/p>\n<h4><span definitions and provisions<\/strong><\/span><\/h4>\n<p><strong>Article I<\/strong><strong>:<\/strong><\/p>\n<p>For the purpose of applying this Law, the following words and phrases, wherever used in this Law, shall have the meanings indicated in front of each of them, unless the context requires otherwise:<\/p>\n<p>System: Real Estate Contributions Law.<\/p>\n<p>Regulation: The executive regulations of the system.<\/p>\n<p>Authority: Public Authority for Real Estate.<\/p>\n<p>Council: The Board of Directors of the Authority.<\/p>\n<p>President: Chief Executive Officer.<\/p>\n<p>Real estate contribution: A real estate development project in which a group of people participate in order to achieve a benefit, by owning a property and developing it into residential, commercial, industrial, agricultural, etc.<\/p>\n<p>Shareholder: A person who owns a common interest in a real estate contribution.<\/p>\n<p>License: A real estate contribution license issued by the Authority.<\/p>\n<p>Licensee: The person who holds the license.<\/p>\n<p>Real Estate Contribution Manager: The person appointed to manage the real estate contribution.<\/p>\n<p>Escrow account: The bank account for the real estate contribution.<\/p>\n<p>Shareholders' register: A register that records the names of shareholders, their shares, and any change in the ownership of their shares.<\/p>\n<p>Association: Association of shareholders.<\/p>\n<p><strong>Second article<\/strong><strong>:<\/strong><\/p>\n<p>The law aims to regulate the activity of real estate contributions, raise the level of transparency and disclosure, and protect the rights of all parties to the real estate contribution.<\/p>\n<p><strong>Article III<\/strong><strong>:<\/strong><\/p>\n<p>Without prejudice to the competencies of other government agencies, the Authority shall be responsible for regulating the activity of real estate contributions in accordance with the law and regulations, and shall in particular:<\/p>\n<p>1- Issuing, amending, and revoking the license, and the regulation shall specify the conditions, requirements, and procedures necessary for this.<\/p>\n<p>2- Categorizing real estate contributions according to size, type, or location, and setting appropriate conditions, requirements, and time periods for real estate contributions according to their categorization.<\/p>\n<p>3- Setting conditions for qualifying and classifying real estate developers for the purpose of offering real estate contributions.<\/p>\n<p>4- Setting the conditions for qualifying and categorizing the practitioners of real estate contributions.<\/p>\n<p>5- Establishing the basis for determining the licensee's entitlements to fees and commissions.<\/p>\n<p>6- Monitoring and supervising real estate contributions.<\/p>\n<p>The Authority may utilize any other governmental entity or the private sector to carry out any task assigned to it under the Law or the Regulations.<\/p>\n<p><strong>Article IV<\/strong><strong>:<\/strong><\/p>\n<p>It is not permissible to offer, advertise, market or raise funds for the real estate shareholding without the approval of the Capital Market Authority and obtaining a license from the Authority - in accordance with the provisions of the Law and Regulations - after verifying the following:<\/p>\n<p>1- The property that is the subject of the real estate contribution must be owned according to a valid title deed, which is proven to be valid, based on a statement from the issuing authority.<\/p>\n<p>2- The property that is the subject of the real estate contribution must have the necessary approvals for its development from the competent authorities, as specified in the regulations.<\/p>\n<h4><span style=\"color: #800000;\">Real Estate Contributions Law<\/span><\/h4>\n<h4><span style=\"color: #800000;\"><strong>\u0627\u0644\u0641\u0635\u0644 \u0627\u0644\u062b\u0627\u0646\u064a &#8211; <\/strong><strong>License and subscriptions<\/strong><\/span><\/h4>\n<p><strong>Article V:<\/strong><\/p>\n<p>The licensee must be qualified and classified by the Authority to practice the real estate contributions activity as specified by the regulation.<\/p>\n<p><strong>Article VI:<\/strong><\/p>\n<p>The capital of the real estate shareholding, on the basis of which the number and amount of shares are calculated, shall be determined through the estimated cost by a licensed appraiser, after the approval of the Authority and the Capital Market Authority in accordance with the regulations.<\/p>\n<p><strong>Article VII:<\/strong><\/p>\n<p>The Authority is required to add a reserve amount to the capital of the real estate contribution, not exceeding (15%) of its estimated cost, in order to meet any additional unforeseen expenses. The disposal of the reserve amount shall be with the approval of the association. The regulation specifies the necessary conditions for this, and how to return it to the shareholders in case it is not disposed of.<\/p>\n<p><strong>Article VIII:<\/strong><\/p>\n<p>A shareholder has the right to participate in the real estate shareholding with an in-kind or cash share. The regulation specifies the type of in-kind share and the conditions that must be met.<\/p>\n<p><strong>Article IX:<\/strong><\/p>\n<p>1- The capital of the real estate shareholding shall be divided into shares of equal value and rights, and the liability of the shareholders shall be within the limits of their shares in the real estate shareholding.<\/p>\n<p>2- The Capital Market Authority shall organize the shareholders' register for the real estate contribution.<\/p>\n<p><strong>Article X:<\/strong><\/p>\n<p>It is not permissible to lend from the capital of the real estate contribution, but it is permissible to borrow against the funds or assets of the real estate contribution, provided that the contribution agreement includes this, and the regulation specifies the requirements governing this.<\/p>\n<p><strong>Article XI:<\/strong><\/p>\n<p>The net assets of the real estate contribution shall consist of fixed assets in cash and in kind or rights with third parties; owned by the real estate contribution. The creditors of the shareholders, the licensee or the manager of the real estate contribution do not have any right to the funds or assets of the real estate contribution except for their shares in the real estate contribution.<\/p>\n<p><strong>Article XII:<\/strong><\/p>\n<p>1- The licensee's percentage in the real estate contribution must not be less than the percentage specified by the regulations, and he must retain ownership of this percentage until the end of the real estate contribution.<\/p>\n<p>2- The remaining shareholders in the real estate shareholding may dispose of their shares in accordance with the conditions specified by the regulations.<\/p>\n<h4><span style=\"color: #800000;\"><strong>\u0627\u0644\u0641\u0635\u0644 \u0627\u0644\u062b\u0627\u0644\u062b- <\/strong><strong>Real Estate Contribution Management<\/strong><\/span><\/h4>\n<p><strong>Article XIII:<\/strong><\/p>\n<p>The licensee shall be responsible for all matters related to the real estate contribution towards the shareholder, the Authority, the Capital Market Authority, any of the relevant government agencies and third parties. The regulation shall specify the licensee's competencies and the limits of its responsibilities.<\/p>\n<p><strong>Article XIV:<\/strong><\/p>\n<p>Subject to the provisions of Article (19) of the Law, the licensee shall be obligated to supervise the work of the real estate shareholding manager and enable him to carry out his duties.<\/p>\n<p><strong>Article XV:<\/strong><\/p>\n<p>The licensee shall open an escrow account in one of the licensed banks in the name of the real estate contribution. The Authority, in coordination with the Saudi Central Bank, shall set the necessary controls for the escrow account.<\/p>\n<p><strong>Article XVI:<\/strong><\/p>\n<p>The Capital Market Authority (CMA) regulates the issuance of the real estate shareholding certificate, which proves that the shareholder owns a share in the real estate shareholding.<\/p>\n<p><strong>Article XVII:<\/strong><\/p>\n<p>The real estate shareholding shall acquire legal personality upon issuance of the license by the Authority, and shall be subject to the provisions of the Law and Regulations.<\/p>\n<p><strong>Article XVIII:<\/strong><\/p>\n<p>The licensee must appoint a chartered accountant and an engineering consultant for each real estate contribution. The regulation specifies the conditions, requirements, responsibilities, duties, tasks, and work mechanism of each of them and what they entail in relation to real estate contributions.<\/p>\n<p><strong>Article XIX:<\/strong><\/p>\n<p>The real estate contribution shall be managed by the real estate contribution manager appointed by the licensee. The regulation specifies the requirements, powers, duties and responsibilities of the real estate contribution manager.<\/p>\n<p><strong>Article XX:<\/strong><\/p>\n<p>The licensee, the Authority and the Association shall have the right to remove the manager of the real estate contribution in accordance with the regulations if he abuses his powers or fails to carry out his obligations, without prejudice to any penalty that may be imposed on him as a result.<\/p>\n<p><strong>Article XXI:<\/strong><\/p>\n<p>Without prejudice to the provisions of Article (14) of the Law, neither the licensee nor the manager of the real estate contribution may take any decision or action if there is an existing or potential conflict of interest in such decision or action. The regulation specifies the method of dealing with conflict of interest cases.<\/p>\n<h4><span style=\"color: #800000;\">Real Estate Contributions Law<\/span><\/h4>\n<h4><span style=\"color: #800000;\"><strong>\u0627\u0644\u0641\u0635\u0644 \u0627\u0644\u0631\u0627\u0628\u0639- <\/strong><strong>Shareholders Association<\/strong><\/span><\/h4>\n<p><strong>Article XXII:<\/strong><\/p>\n<p>The real estate contribution shall have an association formed by all shareholders registered in the real estate contribution register. The regulation specifies the terms of reference of the association.<\/p>\n<p><strong>Article XXIII:<\/strong><\/p>\n<p>Assembly meetings shall be held at the invitation of the licensee, the manager of the real estate contribution or shareholders representing (10%) of the capital of the real estate contribution or at the request of the Authority, and the invitation to the meeting shall specify the place of its meeting.<\/p>\n<p><strong>Article XXIV:<\/strong><\/p>\n<p>The licensee - or his representative - shall preside over the assembly, and all shareholders are entitled to attend the assembly meetings.<\/p>\n<p><strong>Article XXV:<\/strong><\/p>\n<p>If there is no quorum to hold the first meeting, a second meeting shall be called to be held within fifteen (15) days following the first meeting, and the second meeting shall not be valid unless attended by shareholders representing at least (half) of the capital of the real estate contribution. The decisions of the Assembly in the (first) and (second) meetings shall be issued by a majority of the shares represented in the meeting, and in case of equality of votes, the vote shall be repeated again. If there is no quorum at the second meeting, a third meeting shall be called to be held within seven days following the second meeting, and the meeting shall be valid regardless of the percentage of shares represented, provided that the number of attendees is not less than three persons, and the decisions of the Assembly shall be issued by a majority of the shares represented at the meeting.<\/p>\n<p>Article XXVI:<\/p>\n<p>The meetings of the association may be held and voting on its decisions by means of modern technology specified by the regulations.<\/p>\n<h4><span style=\"color: #800000;\">Real Estate Contributions Law<\/span><\/h4>\n<h4><span style=\"color: #800000;\"><strong>\u0627\u0644\u0641\u0635\u0644 \u0627\u0644\u062e\u0627\u0645\u0633- <\/strong><strong>Expiration of the contribution<\/strong><\/span><\/h4>\n<p><strong>Article XXVII:<\/strong><\/p>\n<p>The assets of the real estate shareholding may not be sold unless the assets are evaluated by certified appraisers in accordance with the system of certified appraisers, and in accordance with the procedures specified by the regulation. Any act that violates the provisions of this Article shall be null and void.<\/p>\n<p><strong>Article XXVIII:<\/strong><\/p>\n<p>The sale of the real estate contribution assets shall be in one of the following ways<\/p>\n<p>1- Sale by public auction.<\/p>\n<p>2- Direct sale of all or part of the real estate contribution.<\/p>\n<p>3- Any other method specified in the regulations.<\/p>\n<p><strong>Article XXIX:<\/strong><\/p>\n<p>Without prejudice to the provisions of Article (17) of the Law, the real estate shareholding shall retain its legal personality to the extent necessary for its liquidation, and shall be terminated in one of the following cases<\/p>\n<p>1- Selling them in accordance with the provisions of the Law and Regulations.<\/p>\n<p>2- The expiration of the specified period unless it is extended in accordance with the provisions of the Law and Regulations.<\/p>\n<p>3- Impossibility of achieving the purpose for which it was established.<\/p>\n<p>4. Cancel them in accordance with the provisions of the Law and Regulations.<\/p>\n<p>5- Issuance of a final court ruling to liquidate it.<\/p>\n<p><strong>Article XXX:<\/strong><\/p>\n<p>All proceeds related to the real estate contribution must be deposited directly into the escrow account.<\/p>\n<h4><span style=\"color: #800000;\">Real Estate Contributions Law<\/span><\/h4>\n<h4><span style=\"color: #800000;\">\u0627\u0644\u0641\u0635\u0644 \u0627\u0644\u0633\u0627\u062f\u0633- \u0627\u0644\u0645\u062e\u0627\u0644\u0641\u0627\u062a \u0648\u0627\u0644\u0639\u0642\u0648\u0628\u0627\u062a<\/span><\/h4>\n<p><strong>Article XXXI:<\/strong><\/p>\n<p>Violations of the provisions of the Law or the Regulations shall be handled by employees from the Authority and from any other entity that the Authority deems appropriate to utilize its employees, who shall be appointed by a decision issued by the President after the approval of their respective entities. They may enter the sites and projects related to the activities covered by the system, including the licensee's headquarters, and shall seize violations and preserve documents and evidence related to them in accordance with the seizure procedures issued by the Authority, and they shall be under the supervision of the Authority, and may seek the help of the security authorities when needed. The regulation specifies their method of work, powers, and remuneration.<\/p>\n<p><strong>Article XXXII:<\/strong><\/p>\n<p>Without prejudice to the provisions of Article (35) of the Law, anyone who violates any of the provisions of the Law or the Regulations shall be punished by one or more of the following penalties<\/p>\n<p>1- Alarm.<\/p>\n<p>2- Suspending the license for a period not exceeding (one year).<\/p>\n<p>3- Revocation of the license.<\/p>\n<p>4- A fine not exceeding (10,000,000) ten million riyals.<\/p>\n<p>5- Prohibiting the licensee or the manager of the real estate contribution from doing any work related to real estate contributions for a period not exceeding (10) ten years.<\/p>\n<p>The Council shall issue a table containing a classification of violations and the penalties prescribed for them in accordance with the provisions of this Article.<\/p>\n<p><strong>Article XXXIII:<\/strong><\/p>\n<p>One or more committees shall be formed by a decision of the President of the Authority, whose number shall not be less than three members, one of whom shall be called the chairman, and one of whom shall be a legal or statutory consultant, to examine violations and impose the penalties stipulated in Article (32) of the Law, depending on the type of violation committed, its seriousness and the extent of its impact. The decision of the committee shall be approved by the President of the Authority or his authorized representative.
