Kingdom Holding Company announced that it has entered into a share purchase and sale agreement with Credit Agricole Corporate & Investment to purchase 195,267,861 shares of the shares it holds in Banque Saudi Fransi, representing 16.2% of Banque Saudi Fransi's share capital at a price of SAR 29.5 per share for a total amount of SAR 5,760,401,899.50.

The transaction will be funded by Kingdom Holding's available liquidity and existing bank facilities.

Noting that following the transaction, Credit Agricole Corporate & Investment Bank will remain a strategic investor in Banque Saudi Fransi, alongside Kingdom Holding, and will continue to support Banque Saudi Fransi's activities and growth. The financial impact of the transaction is expected to begin in the fiscal period following the closing of the transaction, and Kingdom Holding confirms that there are no related parties to the transaction.
